Terms of service

Written to be read. If a clause here is unclear, that is our failure and we would like to hear about it.

Effective: August 2026

Working draft

These terms describe how the service actually operates and are provided in good faith. They have not yet been reviewed by legal counsel and are not a substitute for the signed agreement that governs a paid plan. For an enterprise contract, a Data Processing Agreement or anything you need a lawyer to sign, contact info@tkdsmena.com.

1. Who you are contracting with

TKDS LMS is operated by TKDS MENA (also trading as TKDS MEDIA), with offices in Cairo, Egypt and Ohio, United States. "We", "us" and "our" mean TKDS MENA. "You" means the account holder — an individual teacher, or the organisation an administrator signs up on behalf of.

By creating an account or using the service you accept these terms. If you are accepting on behalf of an organisation, you confirm you are authorised to do so.

2. Accounts

You are responsible for the accuracy of your account details and for everything that happens under your account. Keep your password to yourself; tell us promptly at security@tkdsmena.com if you believe it has been compromised.

Academies on a paid plan are responsible for their own users — their students, instructors and staff — including the content those users upload.

3. Plans, billing and the free plan

  • The free plan carries no upfront or monthly fee. We retain 40% of each transaction you make on the shared TKDS learning platform, and remit the remainder to you. If you sell nothing, you owe nothing.

  • Paid plans are billed annually in advance, in USD, and include a stated maximum number of students. All paid plans include the same feature set.

  • Instalments, where offered, split the annual fee across six monthly payments with a 15% service charge, and access continues while payments are current.

  • Exceeding your student cap does not switch anything off without warning. We will contact you to upgrade; we do not lock a live academy out mid-term over a threshold.

  • Taxes are your responsibility where local law places them on you.

4. Renewal and cancellation

Plans renew annually unless cancelled before the renewal date. You can cancel at any time; the service continues to the end of the paid period rather than stopping immediately.

Refunds are covered by our separate refund policy.

On cancellation you keep the ability to export your data. We do not withhold a customer’s own student list, orders or grades as a collection tactic.

5. Acceptable use

You may not use the service to:

  • Upload or distribute content you do not have the right to distribute.

  • Break the law in your jurisdiction or ours.

  • Attack, overload, probe or reverse-engineer the platform, or circumvent its access controls. Security research on your own install is welcome — see our security page.

  • Resell or sublicense the platform itself without a written agreement. Selling your own courses on it is, obviously, the entire point.

  • Publish material that harasses, defames or endangers a person.

We may suspend an account that presents an immediate risk to other customers or to the platform. Where the situation allows, we will contact you first.

6. Your content, our software

You own your content — courses, videos, documents, student records and everything else you or your users upload. We claim no ownership of it, and we do not use it to train models.

You grant us the limited licence needed to host, process and deliver that content in order to operate the service for you. That licence exists to run the platform and ends when the content is removed.

We own the software. These terms grant a right to use the platform, not a transfer of the product. Where a paid plan gives you white-label branding, that covers presenting the platform under your brand — not claiming ownership of the underlying software.

7. Availability and support

We target high availability and publish incidents on our status page, but we do not guarantee uninterrupted service on standard plans. Enterprise agreements may include a specific service level.

Paid plans include email and in-platform ticket support with a 24-hour first-response target on business days.

We may change or retire features. Where a change materially reduces functionality you rely on, we will give reasonable notice and, where feasible, a migration path.

8. Liability

The service is provided as it is. To the extent the law allows, our total liability arising from your use of it is limited to the fees you paid us in the twelve months before the claim.

We are not liable for lost profit, lost data beyond our reasonable control, or indirect and consequential loss.

Nothing here limits liability that cannot lawfully be limited, including for fraud.

9. Changes to these terms

We may update these terms. Material changes will be announced in the platform and by email to account administrators before they take effect. Continuing to use the service after that means you accept the updated terms.

10. Governing law and contact

These terms are governed by the law of the Arab Republic of Egypt, unless a signed enterprise agreement specifies otherwise.
